Washington Chapter
Council of Educational Facility Planners, International (CEFPI)
CHARTER
The Washington Chapter (Chapter) of the Council of Educational Planners International CEFPI) is a Non-Profit organization made up of individuals whose professional activities involve a responsibility of one or more of the following: planning, designing, constructing, equipping, or maintaining the physical environment of education. The Chapter seeks to further the goals of education by providing services, activities, and knowledge related to the development of superior educational facilities.
The Chapter seeks to obtain the following goals:
- Support the highest professional standards for all members through the exchange of ideas and practices associated with the design of educational facilities.
- To identify and disseminate research and information relative to educational facilities.
- To encourage and assist comprehensive educational planning by public and private schools.
- To promote local research in the design and construction of educational facilities.
- To review regulations and codes pertaining to educational facilities.
- To promote conferences, workshops, exhibits and meetings with other related associations.
- To help achieve the objectives and support the activities of the Council of Educational Facility Planners, International and its regional chapters.
BYLAWS
I. MEMBERSHIP
- A. Any member, in good standing in CEFPI, whose residence and/or place of business is in the state of Washington shall automatically be a member of the Washington Chapter, however, members residing in geographic areas bordering adjacent states may choose to become a part of a separate chapter with that state. Other categories of membership, such as Emeritus or Honorary, as designated by the Board of Directors of CEFPI, shall be recognized by the Washington Chapter.
- Membership privileges shall include:
- The right to vote at Chapter meetings.
- Receipt of Chapter mailings.
- Participation in Chapter activities.
- Each membership shall be in the name of an individual: NOTE: (As provided in the bylaws of CEFPI, institutions, consulting firms and organizations that produce goods and services for educational purposes may be eligible for membership on the Council. Each organization shall designate on official representative. He/she shall be extended all rights and privileges of an individual member. Individual employees of industrials firms are eligible for membership in the Council. Individual architects, engineers and other designers are eligible for membership in the Council, Region and local chapters.)
II. GOVERNANCE
- Matters requiring approval of members of the Chapter, including election of officers shall be by majority vote of members present at a chapter meeting or a majority of those members casting a ballot by mail.
- Members shall be notified of all Chapter meetings.
- The officers shall administer the affairs of the Chapter in accordance with limits of authority set by members.
- The fiscal year shall be from 1 January to 31 December.
- There shall be at least (3) Chapter meetings each year, on schedule determined by the President.
- The address of the Chapter shall be determined by the President during his/her term of office.
- The Chapter may generate income to fund activities by any other means than local dues, such as seminars, grants, gifts, donations, etc.
- No dues shall be charged to members of the Chapter. An activity fee in an amount determined by the Board of Directors may be assessed to each individual for mailings and other Chapter costs.
- Amendments to the Charter and By-Laws shall be submitted to the Executive Board in written form for submission to the members for their action. Proposed changes are to be made available to members a minimum of 10 days prior to voting. Approval requires a majority vote of the members voting at a Chapter meeting or by mail ballot.
- The Chapter may associate with other organizations/agencies for the purpose of meeting specific objectives with the approval of the executive board.
- DISSOLUTION: In the event of dissolution of the Washington Chapter of the Council of Educational Facility Planners, International, all property, funds, and assets will, after payment of all liabilities, be delivered to and become property of the Pacific Northwest Region of the Council of Educational Facility Planners, International.
III. CHAPTER OFFICIALS
- The Board of Directors of the Washington State Chapter of CEFPI shall consist of five officers and three at large directors. In addition to the elected members, members of the Washington Chapter who are officers in the Pacific Northwest Region and/or are officers in CEFPI International will serve as ex-officio voting members of the Board of Directors. All members of the Board of Directors shall have one vote on matters that come before the Board.
- *There shall be at five officers as follows:
- President
- President-Elect
- Treasurer
- Secretary
- Past-President
- A quorum of the Board of Directors shall consist of four of the elected members, three of whom must be Chapter Officers.
- Officers shall be elected for a one- (1) year term at the last Chapter meeting of each fiscal year and shall assume office at the beginning of the fiscal year except the President-elect who is elected for a 3 year term - President-Elect, President, and Past-President.
- At large directors shall be elected for one year terms and may serve a maximum of three, one year terms as an at large director. Service as an at large director shall not preclude a member from seeking election to a board office.
- Duties and Responsibilities:
1. President
- The president shall preside at all Chapter and Board of Directors meetings of the Chapter and shall be ex-officio member of all committees.
- The President will sign all letters and other communications of the Chapter.
- The President shall perform all duties incidental to the office of President and other duties as may be prescribed by the Chapter from time to time.
- The President shall direct the activities of the officers.
- The President shall appoint committees, with the consent of the Board of Directors, as deemed necessary or appropriate for conducting Chapter business. This includes appointing members representing the Chapter with various organizations related to educational facilities.
- It shall be the duty of the President to attend the Regional Conference and the International Conference during his/her term of office. The Chapter shall reimburse expenses for registration, travel and lodging costs to attend both conferences.
2. President-Elect
- The duties of the President-Elect shall be to attend all Chapter and Board of Directors meetings and represent the President in assigned Duties and substitute for the President during his or her absence. The President-Elect shall have the responsibility of promoting membership.
- The President-Elect shall perform such other duties as from time to time may be assigned by the President or the Chapter.
- By election to office, the President-Elect shall succeed the incumbent President at the end of his or her term in office.
- The President-Elect shall have the duty to attend the Regional Conference during the year of his/her term of office. The Chapter shall reimburse expenses for registration, travel and lodging costs to attend.
3. Treasurer
- It shall be the duty of the Treasurer to attend all meetings of the Chapter and Board of Directors and be responsible for submitting a statement of financial position at each meeting.
- The Treasurer shall receive all monies paid to the Chapter, and shall be responsible for the deposit of the same in the designated Chapter Bank.
- The Treasurer shall be responsible for the accountable receipt and disbursement of all funds of the Washington Chapter within guidelines established by the Board of Directors.
- The Treasurer shall submit an annual report to CEFPI.
- All receipts and disbursements made by the Chapter shall be audited annually prior to turning over the books to the new treasurer. The audit shall be made in a manner determined by the Executive Board.
4. Secretary
- It shall be the duty of the Secretary to attend all meetings of the Chapter and the Board of Directors and to keep accurate minutes of the same.
- The Secretary shall have charge of all the correspondence of the Chapter.
- The Secretary or designee shall keep a record of all Chapter members, including their addresses and send notices of meetings and other information to the membership as required.
5. Past President
- It shall be the duty of the Past President to attend all meetings of the Chapter and the Board of Directors.
- The Past President shall serve as the Chair of the nominating committee for the election of officers and at large directors.
6. At Large Members
- It shall be the duty of the At Large Directors to attend all meetings of the Board of Directors.
